ChemicalBridge – Terms and Conditions:
I. Acceptance
All sales are subject to acceptance by the Buyer in accordance with these Terms and Conditions. No modified or additional terms shall be binding on the Seller unless agreed in writing and signed by an authorized officer or representative of the Seller.
II. Changes
Orders placed under these Terms may only be changed or amended with a written and signed agreement between Seller and Buyer specifying the impact on price and delivery schedule. The Buyer may not cancel an order that has already been shipped without prior written consent from the Seller. In such cases, the Buyer shall be responsible for all costs associated with the cancellation, which may include (but are not limited to) shipping costs, production and development costs, and material costs.
III. Delivery, Claims, and Extensions
For first orders, Buyers must provide full payment in advance. For established customers with an ongoing relationship, the Seller may, at its discretion, grant a credit term of typically 30days from the invoice date.
IV. Pricing
Due to the particularity of chemicals, all orders are subject to the quotation provided at the time of purchase. Once an order is confirmed, the agreed quotation remains valid, regardless of any subsequent changes to website pricing.
V. Payment
Payments shall be made in accordance with the invoice terms. Failure to make timely payment may result in delayed shipment or suspension of future deliveries.
VI. Taxes and Other Charges
The Seller issues VAT general invoices and special VAT invoices for chemical products by default. Any excise taxes, tariffs, inspection or testing fees, or other government-imposed charges related to the transaction shall be borne by the Buyer in addition to the quoted or invoiced amount.
VII. Customer's Representations and Warranties
The Buyer represents and warrants that products purchased will not be used for human experimentation, non-scientific animal experimentation, or other personal use.
VIII. Returns and Exchanges
Products cannot be returned for credit or refund unless expressly authorized by the Seller and handled strictly in accordance with the Seller's return process:
Customer submits return request online.
After-sales service verifies the request.
Customer service confirms online or by email.
Customer returns the product, original delivery bill, and issued invoice to the designated address.
Upon receipt and inspection, the Seller will process the return or exchange within one week.
IX. Intellectual Property Rights
Patents, trademarks, and other intellectual property contained in the products remain the property of the Seller. Products are provided solely for the Buyer's use and resale; any use of Seller's patents or trademarks without authorization is prohibited. Unauthorized third-party use of patented methods or trademarks for commercial purposes may result in claims for compensation and legal action.
Any non-public technical data, proprietary technology, design plans, or price terms disclosed between the parties shall be treated as confidential and protected accordingly.
Any commercial terms agreed between the Buyer and Seller shall be treated as confidential and not disclosed publicly without mutual written consent, except as required by law.
X. Miscellaneous
Failure by the Seller to enforce any provision of these Terms shall not constitute a waiver of such provision. Rights and remedies provided herein are cumulative and in addition to any rights available under law or equity. Any waiver of a breach must be in writing and shall not constitute a waiver of any other breach. If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and do not affect interpretation.
These Terms are binding on and enforceable by the parties and their respective successors and assigns. Any disputes arising under these Terms shall be governed by and construed in accordance with the laws of the United Kingdom
